TICKET SALES TERMS & LIABILITY WAIVER — SQRS Last updated: September 2, 2026 By publishing an event, generating a payment link, or purchasing a ticket through SQRS ("the Platform"), both the Organizer (the DJ, venue, or organizer publishing the event) and the Buyer (the attendee purchasing tickets) fully accept these Terms. If you do not agree, do not use the ticket sales service. 1. NATURE OF THE SERVICE — SQRS IS ONLY AN INTERMEDIARY 1.1. SQRS is exclusively a technology platform that connects DJs, venues, and organizers with clients and attendees, and provides tools for publishing events and collecting ticket payments. 1.2. SQRS does NOT organize, produce, promote, operate, control, or supervise any event. SQRS is not the seller of the tickets nor a party to the contract between the Organizer and the Buyer; that contract is entered into solely and exclusively between them. 1.3. SQRS does not verify or guarantee the accuracy, legality, quality, or truthfulness of the information published by the Organizer (date, venue, artists, prices, capacity, minimum age, licenses, etc.). 2. SOLE RESPONSIBILITY OF THE ORGANIZER 2.1. The Organizer is solely and exclusively responsible for the event, including without limitation: its actual occurrence, changes of date, time, venue, or artists, cancellation, the safety of the venue and attendees, compliance with applicable regulations (permits, licenses, capacity, noise, alcohol sales, minimum age, insurance, copyright, tax obligations), the quality of the show, and the handling of claims and refunds. 2.2. The Organizer represents and warrants that they hold all rights, permits, and authorizations required to hold the event and sell tickets, and that the published information is truthful and complete. 2.3. The Organizer undertakes to handle any Buyer claim directly and to refund tickets where required under applicable law. 3. WAIVER AND LIMITATION OF SQRS LIABILITY 3.1. To the maximum extent permitted by law, SQRS, its partners, employees, and collaborators SHALL NOT BE LIABLE for any damage, loss, injury, expense, or harm, direct or indirect, arising from or related to: (a) the cancellation, suspension, postponement, delay, or modification of the event; (b) the non-appearance of the DJ, artist, or Organizer; (c) the quality, content, or conduct of the event; (d) accidents, injuries, illness, property damage, theft, or losses occurring before, during, or after the event or while traveling to it; (e) the Organizer's breach of any law, permit, or license; (f) the Organizer's failure to issue refunds; (g) acts of God or force majeure (weather conditions, decisions by authorities, health emergencies, power outages, strikes, etc.); (h) technical failures, interruptions, or errors of the Platform or third-party payment providers. 3.2. SQRS does not guarantee that the event will take place, the availability of capacity, or the Buyer's admission to the venue, which remains at the Organizer's discretion. 3.3. If, notwithstanding the above, SQRS were found liable, such liability shall be limited exclusively to the amount of the service fee actually received by SQRS for the specific transaction. 4. PRICE, SERVICE FEE, AND PAYMENTS 4.1. The ticket price is freely set by the Organizer. SQRS adds a service fee, clearly displayed before payment, which is added to the ticket price and paid by the Buyer. 4.2. The SQRS service fee compensates the use of the Platform and is NON-REFUNDABLE in any case, including cancellation of the event for any reason. 4.3. Payments are processed by third-party providers (Stripe). SQRS does not store card data. The Buyer accepts the payment provider's terms. 4.4. Amounts corresponding to the ticket price belong to the Organizer, who is responsible for their tax obligations. 5. CANCELLATIONS, CHANGES, AND REFUNDS 5.1. Cancellation, change, and refund policies are set and executed by the Organizer, who is the only party obligated to the Buyer. 5.2. SQRS may, at its sole discretion and without any obligation, facilitate communication between the parties or the technical processing of a ticket price refund, always charged to the Organizer's funds. 5.3. Under no circumstances shall SQRS be obliged to refund ticket prices from its own funds. 6. BUYER OBLIGATIONS 6.1. The Buyer is responsible for verifying event details before purchasing, providing a valid email address to receive confirmation, and complying with the venue's admission rules. 6.2. Tickets are personal and may not be resold for commercial purposes without the Organizer's authorization. 7. INDEMNITY The Organizer and the Buyer agree to hold SQRS harmless from any third-party claim, demand, penalty, damage, or expense (including legal fees) arising from the event, their participation in it, breach of these Terms, or applicable law. 8. PERSONAL DATA The Buyer's data (name and email) is shared with the Organizer solely for ticket management and is processed in accordance with the SQRS Privacy Policy. 9. CONTENT AND CONDUCT SQRS may remove any event or suspend ticket sales if it detects unlawful, fraudulent, misleading content or content contrary to these Terms, without giving rise to any right to compensation. 10. AMENDMENTS SQRS may amend these Terms at any time. The version in force shall be the one published on the Platform at the time of purchase or event publication. 11. GOVERNING LAW AND JURISDICTION These Terms are governed by the laws of the country where SQRS is headquartered. Any dispute shall be submitted to the competent courts of that jurisdiction, without prejudice to consumers' non-waivable rights. 12. ACCEPTANCE The Organizer accepts these Terms upon activating the payment link for their event. The Buyer accepts them upon completing payment for their tickets. Both acknowledge having read and understood that SQRS acts solely as a technology intermediary and assumes no responsibility for the event or any unforeseen circumstance related to it.
